Sid Valley Cycling Club Constitution
1 - Title
1.1 – The club shall be called Sid Valley Cycling Club, hereafter to be referred to as ‘SVCC’, and shall be affiliated to British Cycling (BC) and the national governing body for Cycling Time Trials (CTT).
1.2 – The club colours shall be Pantone – Dark Blue (282 C), Red (186 C), Blue (3005 C) and White.
2 - Objective
2.1 – To promote cycling through encourage members to participate in:
2.1.1 – SVCC planned rides,
2.1.2 – Charity rides, Audaxes and Sportives,
2.1.3 – Time trials and Criterium races, and
2.1.4 – SVCC social events.
3 - Membership
3.1 – SVCC has an open constitution and is open to all without discrimination on the grounds of ethnicity, nationality, gender, sexual orientation, religion or beliefs.
3.2 – Membership of the Club shall be open to any person above the age of 16 and completing a membership application form and paying the relevant subscription fee through the BC website. SVCC members 16 or 17 years of age attending club events or rides must be accompanied by an adult.
3.3 – Candidates for membership must be proposed and seconded by a member of the club and approved by the committee.
3.4 – A full list of Full Members will be held by the Membership Secretary.
3.5 – No persons shall be allowed to take part in any club event or club ride in the name of the SVCC, without the consent of the committee, unless they are listed as a SVCC member.
3.6 – There shall be 4 classes of membership available. These are:
3.6.1 – Full Adult Membership – 18+ years of age at 1st January,
3.6.2 – Junior Membership – 16 or 17 years of age at 1st January,
3.6.3 – Family Membership – 2 Adult and 2 Junior, and
3.6.4 – 2nd Claim Associate Membership.
3.7 – New members elected after November 1st shall, upon payment of the subscription, be entitled to all privileges of full membership up to the 31st December in the following year.
3.8 – Any SVCC member not paying their subscription within two months after the 31st December in each year shall be deemed to have resigned and all rights and privileges offered by membership shall be revoked.
4 - Finance
4.1 – SVCC financial year shall commence on the 1st
4.2 – SVCC monies shall be banked in an account held in the name of SVCC.
4.3 – The club Treasurer shall be responsible for the finances of SVCC,
4.4 – The Executive committee gives the right to delegate the power to authorise a transaction of club monies to the Club Treasurer, Secretary or Chairperson. Transactions made by the Club Treasurer, Secretary or Chairperson may be authorised independently without the requirement of a second signature or authorisation.
4.5 – A statement of annual accounts shall be presented by the Treasurer at the Annual General Meeting (AGM).
5 - Officers
5.1 – The club officers shall be Chairperson, Secretary and Treasurer.
5.2 – All Officers shall be elected at the Annual General Meeting of SVCC, from, and by, the Full Members of SVCC.
5.3 – All Officers shall be elected for a period of one year but may be re-elected to the same office or another office for the following year.
6 - Committee
6.1 – The management of SVCC shall be by an elected Executive Committee consisting of club Officers and other Committee Members all to be selected annually.
6.2 – SVCC Committee Members shall be Vice Chairperson, Race Secretary, Clothing Secretary, Membership Secretary and Social Events Secretary. By agreement of the Executive Committee a club officer may adopt a Committee Members role in addition to their main officer role.
6.3 – The duties of the Committee shall be:
6.3.1 – To control the affairs of SVCC on behalf of the Members,
6.3.2 – To keep accurate accounts of finances of SVCC through the Treasurer,
6.3.3 – To co-opt additional members to the Committee as the Committee feels is necessary,
6.3.4 – To make decisions based on a majority vote of Full Members present with the Chairperson providing the casting vote in the event of equal votes.
6.4 – The committee shall aim to meet at least 3 times a year. No committee meeting or committee decision shall take place or be ratified if less than 4 Committee Members are present or in agreement.
7 - General Meeting
7.1 – The Annual General Meeting (AGM) of SVCC shall be held not later than the end of November each year. 21 clear days written notice shall be given to all members of SVCC by circulating a copy of the notice to every member via the SVCC web site and Facebook site.
7.2 – Members must advise the Secretary in writing of any business to be moved, proposed and seconded at the Annual General Meeting at least 14 days before the AGM. Only items notified in this way may be voted on at the AGM. The Secretary shall give notice of the agenda to the Committee Members not less than 7 days before the meeting.
7.3 – The business of the AGM shall be to:
7.3.1 – Confirm the minutes of the previous AGM and any General Meetings held since the last AGM.
7.3.2 – Receive the accounts for the year from the Treasurer.
7.3.3 – Receive the annual report of the Committee from the Secretary.
7.3.4 – Review SVCC subscription rates and agree them for the forthcoming year.
7.3.5 – Transact such other business received in writing by the Secretary from Members 14 days prior to the meeting and included on the agenda.
7.3.6 – Elect the Officers and Committee Members of SVCC.
7.3.7 – Any other business for discussion.
7.4 – Extraordinary General Meetings (EGM) may be convened by the Committee or on receipt by the Secretary of a request in writing from not less than 10 Full Members of the Club. At least 21 days notice of the meeting shall be given. Only such business notified in the request is to be discussed at the meeting.
7.5 – Nomination of candidates for election of Officers shall be made in writing to the Secretary at least 14 days in advance of the AGM. Nominations can only be made by Full Members and must be seconded by another Full Member.
7.6 – At all General Meetings, the chair will be taken by the Chairperson or, in their absence, by a deputy appointed by the Club or by Full Members attending the meeting.
7.7 – Decisions made at a General Meeting shall be by a simple majority of votes from those Full Members attending the meeting. In the event of equal votes, the Chairperson shall be entitled to an additional casting vote.
7.8 – Each Full Member of the Club shall be entitled to one vote at General Meetings.
8 - General
8.1 – Members are advised to review and adopt the SVCC riding etiquette guidance.
8.2 – The Committee shall have the power to expel or otherwise deal with any member whose conduct is injurious to the character and interests of the club without assigning a reason.
8.3 – Any matter not provided for in these rules shall be dealt with by the Committee, whose decision shall be binding on all parties.
8.4 – Rules and Regulations for Club and Open events promoted by the Club shall be strictly enforced.
8.5 – No alteration in, or addition to these rules shall be made except without the consent of at least two-thirds of the members present at the AGM or EGM called for the purpose. Notice thereof shall be circulated to the Members seven days before the meeting together with a copy of the agenda or copy of the relative alteration or addition proposed.
9 - Dissolution
9.1 – A resolution to dissolve SVCC can only be passed at an AGM or EGM through a majority vote of the membership.
9.2 – If at that EGM the resolution is carried by at least two-thirds of the Full Members present at the meeting, the Committee shall thereupon, or at such date as shall have been specified in the resolution, proceed to realize the assets of the Club and discharge all debts and liabilities of the Club.
9.3 – After discharging all debts and liabilities of SVCC, the remaining assets shall not be paid or distributed amongst the Full Members of the Club but shall be given or transferred to some other voluntary organization having similar values to those of SVCC.
10 - Declaration
Sid Valley Cycling Club herby adopts and accepts this Constitution as a current guide regulating the actions of its Members.
